Terms of Service

Hey Sammi, LLC — the legal agreement for our Services.

The following terms and conditions ("Terms of Service" or these "Terms") are a legal agreement between you ("you" or "User(s)") and Hey Sammi, LLC ("Hey Sammi"), and govern your access to, and use of, the heysammi.com website (the "Website") and your use of the text-message based assistant service offered by Hey Sammi (collectively with the Website, the "Services").

By texting Hey Sammi's number, or by accessing, browsing, or otherwise using the Website, you agree to be bound by these Terms and any related policies or guidelines, including any subsequent changes or modifications to them, and confirm that you have the authority to enter into these Terms personally or on behalf of any other person you add to your household's notification group. The term "you" refers to the individual who initiates use of the Services by texting Hey Sammi's number or using the Website. If you do not agree to these Terms or any changes, do not access or otherwise continue to use the Services.

These Terms of Service include a class action waiver and a waiver of jury trials and require binding arbitration on an individual basis to resolve disputes.
These Terms of Service limit the remedies that may be available to you in the event of a dispute.

1. Registration

To access certain features of the Services, you may be required to register for an account ("Account"). In registering for the Services, you agree to (1) provide true, accurate, current and complete information about yourself as prompted by the Services' registration form (the "Registration Data"); and (2) maintain and promptly update the Registration Data to keep it true, accurate, current and complete. You represent that you are (i) of legal age to form a binding contract; and (ii) not a person barred from using the Services under the laws of the United States, your place of residence or any other applicable jurisdiction. You are responsible for all activities that occur under your Account. You may not share your Account or password with anyone, and you agree to notify Hey Sammi immediately of any unauthorized use of your password or any other breach of security.

2. Hey Sammi Services

The Hey Sammi Services provide a digital platform to manage and organize sports organizations and teams. By using the Services, Users can organize and manage a sports team, maintain a roster of athletes participating in sports activities along with associated information such as their performance at sporting events and recorded media content. Features include:

1. Team and organization management;
2. Payments and registration;
3. Watching, modifying, or sharing video clips and other content;
4. Engaging with other Users through text messaging and alerts;
5. Live streaming or replaying Events.

3. Payment and Fees

Some elements of the Services may be offered for a fee ("Fee"). The Fees for such Services are posted on the Website. You agree to pay Hey Sammi in advance the applicable Fees for the Services. Each charge will be considered valid unless disputed by you in writing within thirty (30) days after the billing date.

4. Subscriptions

By purchasing any Services that are sold as an ongoing subscription (each a "Subscription"), you acknowledge that your Subscription has an initial and recurring payment feature. To cancel the automatic renewal of your Subscription at any time, you must email cancel@heysammi.com.

5. Non-refundable Fees

We do not issue refunds for any early cancellation or termination of the Services or your Subscription, or for any other reason.

6. Accessing Content Through the Service

You agree that you will only use the Services and any content you access through the Services for your own internal, personal, non-commercial use. The materials displayed or available on or through the Services are protected by copyright and/or other intellectual property laws. You promise to abide by all copyright notices, trademark rules, information, and restrictions contained in any Content you access through the Services.

7. Ownership

Hey Sammi and its licensors own all rights, title, and interest in the Services and Content. You acknowledge that you shall have no ownership or other property interest in your Account, and all rights in and to your Account are owned by Hey Sammi.

8. User Content

Users can post, publish, store, display, and share information or data about Players as well as pictures, audio, video, and other content (collectively, "User Content"). You are legally responsible for all User Content uploaded through your Account.

9. Privacy

Refer to Hey Sammi's Privacy Policy to understand how personal information is collected and used.

10. Your Liability

You are solely responsible for your activities on the Services, including all content that you submit or a third party submits on your behalf. You agree to indemnify Hey Sammi against any claims arising out of or related to your use of the Service.

12. Trademarks and Service Marks

"Hey Sammi," "Hey Sammi Podcast," "HeySammi.com" and Hey Sammi's logos are trademarks of Hey Sammi, LLC. or its suppliers and licensors and may not be copied or used without prior written permission.

13. Links and Third-Party Content

Hey Sammi may provide links to other sites or content. Hey Sammi has no control over such sites or content, and disclaims responsibility for their quality or nature.

14. Beta Testing

Certain Services may be made available to select Users through "beta testing". Your participation in beta testing is subject to these Terms.

15. No Warranties

THE SERVICES AND CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND. HEY SAMMI DISCLAIMS ALL WARRANTIES.

16. Limited Liability

IN NO EVENT SHALL HEY SAMMI BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES. HEY SAMMI'S AGGREGATE LIABILITY SHALL NOT EXCEED AMOUNTS YOU PAID TO HEY SAMMI DURING THE PRIOR 12 MONTH PERIOD OR $100.

17. Arbitration Agreement

All claims and disputes in connection with the Terms or the Services shall be resolved by binding arbitration. The arbitration shall be conducted by a single, neutral arbitrator, and in individual proceedings only.

18. Conduct Policy

This policy governs your conduct while using the Services. Examples of prohibited conduct include:

• Uploading illegal or harmful content;
• Transmitting unsolicited advertising;
• Impersonating any person or entity.

19. Hey Sammi Payments Service

Unless otherwise stated, Hey Sammi payment processing services are provided by Stripe. You agree to comply with the relevant Operating Rules and laws.

20. Digital Millennium Copyright Act (DMCA)

The Website is an internet "service provider" under the DMCA. To notify claims of infringement, contact Hey Sammi's Copyright Agent at 18 Chesterton Cir Madison, WI 53717, USA.

General Provisions

The Terms and any action related thereto will be governed by the laws of the State of Wisconsin. The Terms are subject to change by Hey Sammi in its sole discretion at any time. By using the Services, you consent to these Terms.
